1. Who we are

These terms govern the use of codexmax.pro and the services of CODEXMAX, a trade name registered with Ecuador's tax authority (SRI), based in Quito, Ecuador. The owner's identification details appear on every quote, contract and invoice. Contact: ventas@codexmax.pro. By using the site or hiring a service, you accept these terms.

2. Services

  • Web design and development: websites, landing pages, online stores and redesigns, as described in the accepted quote.
  • Customer service platform: software that connects messaging channels (WhatsApp, Instagram and Facebook), an artificial intelligence assistant, contact management and appointment booking.
  • Digital marketing, when hired.

The scope, timeline and price of each service are set out in the accepted quote or proposal.

3. Prices and payments

Prices are in US dollars and state whether taxes are included. Deposits, payments and subscriptions follow the accepted proposal. Recurring services (hosting, maintenance or subscriptions) renew each period until the client cancels with prior notice; amounts paid for the current period are non-refundable unless the law provides otherwise.

4. Client obligations

  • Provide the necessary information, text, images and access on time, and hold the rights to use them.
  • Use the services lawfully: no spam, no illegal or misleading content, and no infringement of third-party rights.
  • Comply with the policies of connected platforms (Meta, WhatsApp Business, Instagram, Facebook and Google), including their messaging and template rules.
  • Obtain the consents needed from their own customers to message them and process their data, and comply with the LOPDP.
  • Keep their passwords and access secure.

5. Artificial intelligence assistant

Replies generated by artificial intelligence may contain errors. The client is responsible for loading and keeping its business information up to date (prices, policies, hours) and for supervising conversations. CODEXMAX applies safeguards and the option to hand off to a person, but does not guarantee that every reply is accurate.

6. Third-party services

Our services rely on third parties (Meta, Google, hosting and artificial intelligence providers). Their changes, outages, limits, fees or account suspensions are beyond our control. Charges those platforms bill directly (for example, WhatsApp conversations) are not included unless stated.

7. Intellectual property

CODEXMAX's software, brand and materials belong to their owner. Once a custom website is paid in full, the client may freely use the delivered design and content, except for third-party components under their own licenses. The client keeps ownership of its data and content.

8. Personal data

Data processing is governed by our privacy policy. For the data of a business's end customers, CODEXMAX acts as processor and the business as controller.

9. Availability

We work to keep our services available and running well, but we do not guarantee they will operate without interruptions or errors.

10. Limitation of liability

To the extent permitted by law, CODEXMAX's total liability to the client is limited to the amount paid for the affected service in the previous three months and excludes lost profits and indirect damages. This does not limit liability that cannot be excluded by law.

11. Suspension and termination

We may suspend or terminate a service for breach, abusive use, non-payment or risk to third parties or to our platform accounts. The client may cancel at any time with written notice and request the export and deletion of its data.

12. Governing law

These terms are governed by the laws of the Republic of Ecuador. Disputes will be submitted to the competent courts of Quito, without prejudice to consumer rights under the law.

We may change these terms; the date of the last update appears at the top.
